1. Acceptance of the Terms
By creating an account, accessing, or using the GoMove websites, applications, APIs, dashboards, or any other product operated by GoMove (collectively, the "Services"), you agree to these Terms, our Privacy Notice, our Cookie Notice, and, where applicable, our Data Processing Agreement. If you do not agree, do not use the Services.
If you accept these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
2. The Services
GoMove offers two distinct categories of Services:
- GoMove Platform (SaaS) — software that helps fleets, retailers, carriers, movers, municipalities and 3PLs plan jobs, route trucks, capture proof, manage returns, and communicate with customers.
- GoMove Marketplace — an on-demand booking layer that connects customers and merchants with independent third-party transport providers for furniture, appliances, and other Big & Bulky goods.
3. Marketplace role — GoMove is a technology intermediary only
- Any transport service is performed by an independent third-party provider under its own commercial relationship with the customer or merchant.
- GoMove is not a carrier, freight forwarder, broker (where prohibited), moving company, warehouseman, employer, agent, partner, or joint-venturer of any provider, customer, or merchant.
- GoMove does not direct, supervise, control, schedule, train, equip, insure, or otherwise manage providers, drivers, vehicles, helpers, or the physical performance of any job.
- Pricing displayed in the Marketplace is offered by the provider; acceptance forms a contract between the provider and the customer/merchant, not with GoMove.
- Any rating, ranking, badge, or recommendation surfaced by GoMove is provided "as-is" for informational purposes and is not a warranty.
4. Accounts & eligibility
- You must be at least the age of majority in your jurisdiction.
- You must provide accurate, complete and current information and keep it up to date.
- You are responsible for all activity under your account and for safeguarding your credentials.
- We may refuse, suspend, or terminate any account at our discretion, including for suspected fraud, abuse, breach of these Terms, or risk to other users.
5. Your obligations & acceptable use
You agree not to, and not to permit any third party to:
- Use the Services in violation of any law, regulation, transport rule, weight or dimension restriction, tax obligation, insurance requirement, or third-party right.
- Submit false information, manipulate proof captures, alter signatures or photos, or misrepresent the condition, value, or contents of goods.
- Transport prohibited, dangerous, hazardous, illegal, perishable, live, fragile beyond reasonable handling, or otherwise restricted goods unless expressly authorized in writing by GoMove and the relevant provider.
- Bypass, scrape, reverse engineer, copy, resell, or build competing products from the Services.
- Interfere with, overload, or attempt to gain unauthorized access to the Services or related systems.
- Use the Services to harass, defraud, discriminate against, or harm any other user, driver, or third party.
Operators and providers are independently responsible for compliance with all applicable transport, labor, health-and-safety, employment, tax, customs, insurance, and licensing rules in every jurisdiction where they operate, including Highway Code, ELD/EOBR, hours-of-service, weight-and-dimension, dangerous goods, environmental, and consumer-protection regulations.
6. Fees, payments & taxes
- SaaS subscriptions are billed in advance and are non-refundable except where required by law.
- Marketplace transactions are priced by providers; GoMove may charge a service fee for facilitating the transaction.
- You are responsible for all applicable taxes, including GST/HST/QST, sales tax, VAT and similar.
- Failed payments, chargebacks, and disputes may result in suspension or termination.
7. Intellectual property
The Services, including all software, models, branding, copy, designs, and content, are owned by GoMove or its licensors and are protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services as authorized by these Terms. You retain ownership of the data you submit and grant GoMove a worldwide, royalty-free license to host, process, transmit, and display it as needed to operate the Services, and to create de-identified or aggregated data for our own use.
8. Third-party services and links
The Services may integrate with or link to third-party services (mapping, payments, ERPs, telematics, etc.). GoMove is not responsible for those services. Your use of them is governed by their own terms.
9. Disclaimers — Services provided "AS IS"
GoMove specifically disclaims, to the maximum extent permitted by law:
- All warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, uninterrupted or error-free operation, and quiet enjoyment.
- Any warranty regarding the conduct, performance, qualifications, licensing, insurance, safety, honesty, identity, vehicles, equipment, or fitness of any provider, driver, customer, merchant or other third party.
- Any warranty regarding the condition, quality, value, weight, dimensions, completeness, packaging, or safety of any goods transported through the Marketplace.
- Any warranty regarding routes, ETAs, distances, fees, availability, or estimates produced by the Services, which are informational only.
- Any warranty regarding the result of any algorithmic or AI feature, which may produce inaccurate output.
Use of the Services and of the Marketplace is at your own risk.
10. Limitation of liability
Without limiting the foregoing, GoMove will not be liable for any loss, damage, delay, injury, death, theft, vandalism, contamination, soiling, scratching, breakage, partial delivery, non-delivery, mis-delivery, refusal of access, building damage, floor or wall damage, or any other event arising out of or related to a delivery, move, installation, assembly, haul-away, return, or any other physical service booked through the Marketplace or coordinated through the Services. Liability for any such event rests exclusively with the relevant transport provider and, where applicable, its insurer.
Aggregate cap. The total cumulative liability of GoMove arising out of or relating to the Services, whether in contract, tort (including negligence), warranty, statute or otherwise, will not exceed the greater of (a) the amounts paid by you to GoMove for the Services during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the smallest extent permitted by law.
11. Indemnity
You agree to defend, indemnify, and hold harmless GoMove and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms, any law, or any third-party right; (c) any content or data you submit; (d) any job, delivery, move, installation or related service to which you are a party or which you arranged; and (e) any dispute between you and any other user, provider, customer, merchant, driver or third party.
12. Suspension & termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected fraud, abuse, non-payment, breach of these Terms, risk to other users, or legal/regulatory requirement. Upon termination, sections that by their nature should survive (including disclaimers, limitations of liability, indemnity, IP and governing law) will survive.
13. Governing law & disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of the judicial district of Montréal will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law provides otherwise.
Where permitted by law, you and GoMove waive any right to participate in a class, collective, or representative action.
14. Miscellaneous
- Entire agreement. These Terms, together with the documents referenced, constitute the entire agreement between you and GoMove regarding the Services.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent; we may assign freely.
- Force majeure. GoMove is not liable for delays or failures caused by events beyond its reasonable control.
- Language. The parties have expressly required that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que les présentes Conditions et tout document s’y rapportant soient rédigés en anglais.
